1. Who the Firm acts for

    Wazir & Tsen (the Firm) acts for owner-managed companies, family groups, founders and the boards that answer to them.

  2. 1.2

    The Firm takes on corporate, commercial and property work in Kuala Lumpur and Penang, and the court work that sometimes grows out of it.

    Each matter is led by a named Partner from the first meeting to the last signature. Associates draft; a partner reads every page before it leaves the office.2

    Scope, the people on the matter and the basis of fees are set out in a letter of engagement and agreed in writing before any work starts.

    We act on the purchase and sale of private companies and businesses, from the term sheet through due diligence to completion. Most of our buyers and sellers are doing this for the first time, so we explain each document before it is signed.

3. How a matter runs

The same four steps for a two-page letter and a two-hundred-page sale agreement. You always know which step you are on and who is holding the pen.

  1. i.

    First meeting

    Sixty minutes with the partner who would lead the matter, at either office or by video. You leave with a written note of the issues and the questions still open.

  2. ii.

    Letter of engagement

    Scope, the people on the matter, the basis of fees and a working timetable, in writing. Nothing starts until you have agreed it.

  3. iii.

    Drafting and review

    An associate drafts and the partner reads every page. Each draft comes with a short cover note that says what changed and why.

  4. iv.

    Completion and file

    A signed set, plus a one-page schedule of the obligations and dates the document creates, ready to put in your diary.

7. Two offices, one file

Every matter has one file shared by both offices, so a Penang client can meet in Kuala Lumpur, and the other way round, without starting again.

8. The first meeting

Sixty minutes with a partner, at either office or by video. Bring what you have; missing papers are a question, not a problem.

What to bring

  1. (a)A company profile from SSM, printed in the last 30 days.
  2. (b)The company constitution, if the company has one.
  3. (c)Every version of the agreement in question, signed or draft, with the emails that changed it.
  4. (d)A one-page timeline of what happened and when, in your own words.
  5. (e)The names of everyone on the other side, so we can check for conflicts before we meet.
  6. (f)Your deadline, and what happens if it is missed.
  7. (g)IC or passport of the person giving instructions.
  8. (h)A board resolution allowing you to instruct the Firm, where the company needs one.

3Booking a meeting does not make us your lawyers. The Firm is engaged only once a letter of engagement is signed.

9. Questions asked before signing

9.1How are fees agreed?

Before any work starts, the letter of engagement sets out how the matter will be charged: a fixed fee for a defined piece of work, or time spent, with an estimate. Fees for conveyancing follow the Solicitors' Remuneration Order. You see the basis in writing before you agree to anything.

9.2Does the Firm act for individuals?

Mostly for companies and the people who own and run them. We act for individuals where the matter is tied to a business, such as a director's guarantee, a share sale or a succession plan.

9.3How do you check for conflicts?

We run the names of every party through our records before the first meeting. That is why we ask for the names of the other side when you book.

9.4Can we meet by video, or in the other office?

Yes. Any first meeting can be at either office or by video, and the file is shared, so it does not matter which door you walk through.

9.5Which languages can we work in?

Documents are drafted in English or Bahasa Malaysia. Meetings can also run in Mandarin, Cantonese, Hakka or Tamil, depending on the partner.

9.6Who will actually do the work?

A named partner leads, with one associate who drafts. Both names are in the letter of engagement, and they do not change without telling you.
